Draft template — pending review by legal counsel. Bracketed placeholders must be completed before this is relied upon.
These Terms of Service (“Terms”) govern your access to and use of the [COMPANY LEGAL NAME] platform and related services (the “Service”). By creating an account, checking the box to accept these Terms, or using the Service, you agree to be bound by these Terms on behalf of yourself and the organization you represent (“Customer”, “you”). If you do not agree, do not use the Service.
1. The Service
The Service is a multi-tenant business platform that lets you manage records and related business documents, including viewing, editing, generating, and exporting documents. We may update, improve, or change features over time.
2. Accounts & eligibility
You must provide accurate registration information and are responsible for all activity under your account and for keeping your credentials secure. You must have authority to bind your organization to these Terms. The Service is not directed to individuals under [MINIMUM AGE].
3. Acceptable use
You agree not to misuse the Service, including: uploading unlawful, infringing, or malicious content; attempting to breach security or access another tenant’s data; reverse-engineering the Service except as permitted by law; or using it to violate the rights of others.
4. Customer content & data
You retain ownership of the records, files, and documents you upload or create (“Customer Content”). You grant us a limited license to host, process, transmit, render, convert, and display Customer Content solely to provide the Service to you. You are responsible for having the rights necessary to upload and use your Customer Content and for its accuracy and legality.
5. Customer content & fonts
The Service lets a workspace administrator upload font files and applies them when displaying documents in the browser and when embedding them into exported files (e.g. PDF). Many fonts are licensed software with restrictions on web-serving and embedding. You are solely responsible for ensuring that you hold all licenses and rights necessary to upload each font and to have it web-served to your users and embedded in exported documents. You represent and warrant that your use of any uploaded font complies with that font’s license, and you agree to indemnify [COMPANY LEGAL NAME] against claims arising from fonts you upload. We may remove fonts or content that we reasonably believe infringe third-party rights.
6. Intellectual property & open-source
The Service, excluding Customer Content, is owned by [COMPANY LEGAL NAME] and its licensors. The Service includes third-party open-source components provided under their own licenses; a list of those components and their notices is available in our Open-Source Licenses. Nothing here transfers ownership of the Service or those components to you.
7. Privacy
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Fees
[Describe subscription fees, billing terms, taxes, and refund policy, or state that the Service is currently provided free of charge. — TO BE COMPLETED.]
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Document conversion, import, and export may alter formatting; we do not warrant byte-for-byte fidelity of converted or exported documents.
10. Limitation of liability
To the maximum extent permitted by law, [COMPANY LEGAL NAME] will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service is limited to [LIABILITY CAP — e.g. the amounts you paid in the 12 months before the claim].
11. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or as required by law. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
12. Governing law
These Terms are governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-laws rules, and the courts of [VENUE] will have exclusive jurisdiction, except where prohibited by law.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.
